2019 AGM Calling Notice

Notice is hereby given that the 5th Annual General Meeting will be held in the Clubhouse on
Monday the 11th Day of February 2019 at 7.00pm

The business to be transacted is as follows:

(a) To pass the minutes of the last Annual General Meeting of Bury Golf Club Ltd on Monday the 12th February 2018.

(b) To receive, and if so resolved, adopt the Balance Sheet and Statement of Accounts for the year ending 30th November 2018.

(c) To elect Auditors for the ensuing year.

(d) To receive, and if so resolved, adopt the Annual Report for the year ending 30th November 2018.

(e) To elect, for the ensuing year, the President, Captain, Vice-Captain, Lady President, Lady Captain, Lady Vice-Captain and Directors.

(f) To elect directors to the Board of Bury Golf Club Ltd (Article 43) – There will be 5 vacancies.

The following directors retire in accordance with Article 37: K.Brown, Mrs S Warrington, G.Taylor.

The following director retires in accordance with Article 39: G Hall

The following directors have resigned: R.Porter, L Campbell

The following members have been duly proposed for election to the Board of Directors of Bury Golf Club Limited: Mrs S Warrington, Mr G Hall & Mr C Stephenson.

(g) To transact any other relevant business.

Copies of the 2018 AGM minutes and are available on the club website or in hard copy from the office. The Financial statement for year ending 30th November 2018 will be made available presently and a notice sent to members.
Proxies. In accordance with section 324 of the Companies Act 2006 a member is entitled to appoint another person as his proxy to exercise all or any of his rights to attend and to speak and vote at a meeting of the Company.
Proxies must be notified to the company not less than 48 hours before the date of the meeting. Any form delivered after this time will be null and void. Forms are available from the Company Secretary’s office.

After the turbulence of 2017/8 it was hoped that 2018/9 would be calmer, however whilst the issues that arose had largely been dealt with, the club experienced a number of different challenges this year starting with one of the wettest winters on record, closely followed by one of the hottest summers and in amongst it all we had the fire in the office which created unwanted disruption.
Through the resilience and dedication of all the staff and countless members, I am pleased to report that collectively we overcame these challenges and feedback from members and visitors would indicate that we have a course to be proud of.
As with most golf clubs we continue to face financial challenges, however whilst we once again report a significant loss much of this relates to costs that we would expect to recover as a result of the fire and a significant drop in membership at the start of the year for a variety of reasons. A drop in golf participation is something that is happening Nationally and therefore our challenge moving forward is to try and grow membership and generate additional income streams by other methods.
As a board we are striving hard to balance the books whilst also trying to maintain and improve the course and facilities and an increase in Green Fees and number of society bookings already seen in the current financial year is a sign of progress, but we acknowledge we still have some way to go.
We will endeavour to keep members appraised of any developments through regular communication and Forum’s as we have tried to do this year and the feedback received has been that you welcome these, we will therefore do our utmost to continue in this manner.
One of the more encouraging aspects of this year has been the many examples of members offering their support to a number of initiatives throughout the year, for example the divoting party, the cleaning of the locker rooms, members offering their professional expertise to support initiatives. This is by no means a comprehensive list however it is this type of cooperation and dedication that will take the club forward and on behalf of the board I want to thank everyone who has given up their time for the benefit of others, it has been greatly appreciated.
I would also like to take the opportunity to thank my fellow directors and all the other volunteers who support the various committees across the club, it is fair to say without your efforts there would be no club and the untold hours that you dedicate make a huge difference and do not go unnoticed.
Finally and by no means least, I would also like to thank all the staff for their commitment and dedication during what has been at times a challenging year, I am confident that your professionalism and focus on what we are trying to achieve will help us take the club forward and thank you for your support.
